Submitted by Jonniebluefish on Thu, 2018-10-11 08:51 Narragansett - 225 Vote Up Down +5 + DSC_5533-2.jpg Announcement for the Narragansett Chapter of Trout Unlimited (TU225) October 31, 2018 The Narragansett Chapter of Trout Unlimited (TU225) will host its second “off the water” monthly membership meeting on Wednesday, October 31st, starting at 6:30 PM, at the Coventry / West Greenwich Elks Lodge, 42 Nooseneck Hill Road (Rte. 3, Exit 6 off of Rte. 95), West Greenwich, R.I. 02817. In addition to regular business, we will vote on a proposed amendment change allowing an increase in the number of directors on the Board. (See proposed Amendment of Bylaws to be voted upon below.) We will also be discussing upcoming educational events and activities that the chapter will be involved in during the year. This meeting will allow our members and guests to network, tell fishing and fly-tying tales of the upcoming cold winter months, and other stories of interest. Members are encouraged to contact the Chapter President with their suggestions and ideas to continually improve our chapter, its Vision; To ensure that the habitats for cold-water and estuary fish thrive in Rhode Island for future generations, and Mission; To conserve, protect, restore, and sustain the cold-water fisheries and their watersheds in Rhode Island through collaborative, educational, and environmental activities. We will also be hosting our 1st annual Chowder/Soup/Stew Cookoff!! Members are invited to bring a pot/crockpot of their favorite soul satisfying recipe for tasting and judging by members and guests. Currently, our Board of Directors is limited to 4 Officers and 5 Directors (9 members). The nominating committee, in preparing a slate of nominees for the upcoming elections in December, would like to amend the Byaws to a total of 11 members. Please find the pertinent Articles and Sections below regarding the procedure to amend the Bylaws: Pursuant to Article IX. Amendment of Bylaws Section 1. These Chapter Bylaws may be amended at any Annual Meeting, regularly scheduled Member Meeting, or Special Meeting if the lesser of twenty-five (25) Chapter Members or 10% of the Membership are present. Amendment of the Bylaws shall require a two-thirds vote of those present and voting. Only current members of Trout Unlimited shall be permitted to vote. Any amendment to these Bylaws shall be consistent with the Bylaws of Trout Unlimited. All proposed amendments to the Bylaws shall require at least 30 days notice to the Membership, with the notice specifying the proposed amendment. Current Article IV. Board of Directors Section 2. All members of the Board of Directors (“Director(s)”) shall be current members of Trout Unlimited and Members of the Chapter. The Board of Directors shall consist of no fewer than three (3) non-officer Members and the Officers elected pursuant to Article V, Section 1 and no more than nine (9) members. Each non-officer Director shall serve a two (2)-year term, with Directors’ terms staggered to provide for continuity. The immediate past President shall be an ex-officio voting member of the Board of Directors for the term of his or her successor. The Conservation Committee chairperson will be an ex-officio voting member of the Board. Irrespective of any ex-officio status, no Director shall have more than one vote.
